Good Day!

I would like to ask for advice over an issue regarding the above-stated subject wherein a company which was closed last 2022 - but the recorded closure was in December 2019 - wants to sell a parcel of land but don't know what steps to follow since it is officially declared closed. What should be filed if it fall under the jurisdiction of the SEC for it to push through? Thank you.

Greetings!

If the Company did not file any closure with SEC, its status is still active. Hence, we advise that the entity should file for a separate dissolution with us. The requirements are as follows: 

1.	Articles of Dissolution of Affidavit of Dissolution; and
2.	BIR Tax Clearance

Kindly scan all documents in pdf and submit the requirements to crmd_emer_amend1@sec.gov.ph
